Terms & Conditions of Supply

💰 1. Quotations, Pricing & Validity

Commercial offers and quotations issued by Abiding Engineering Works (AEW) are governed by the following terms:

• Validity Period: Quotations remain valid for 30 calendar days from the date of issue unless specified otherwise in writing.
• Price Basis: Prices are quoted Ex-Works / FOR Destination as explicitly stated in the formal quotation document. Raw material market fluctuations (copper, brass, steel) may require price re-validation if order placement is delayed beyond quotation validity.
• Applicable Taxes: GST (CGST/SGST or IGST) is charged extra at statutory rates as mandated by law. Freight, transit insurance, and packaging are billed as per agreed commercial terms.

📋 2. Order Acceptance & Purchase Orders (PO)

Orders become binding upon AEW only after receipt of a formal Purchase Order (PO) or written confirmation along with approved manufacturing drawing specifications:

• Scope Confirmation: Any amendments to quantities, specifications, or delivery schedules must be confirmed in writing by both parties.
• Technical Drawings: Customer-supplied CAD drawings, blueprints, or physical approved samples are treated as authoritative manufacturing references.
• Tender Orders: For railway tenders, purchase order acceptance is subject to railway tender schedules, inspected drawings, and delivery timelines.

🔍 3. Quality Assurance & Inspection Protocols

AEW operates under strict manufacturing quality standards to ensure compliance with customer drawings and railway specifications:

• Third-Party Inspection: For railway and infrastructure contracts requiring RITES, RDSO, or third-party inspection, dispatch is executed upon clearance of Joint Inspection Notes or IC certificates.
• Inspection Coordination: AEW provides required test facilities, dimensional reports, and material test certificates (MTC) as requested during contract finalization.
• Warranty & Quality Claims: Rejection claims regarding dimensional deviation or manufacturing defects must be reported in writing within 15 days of material receipt. Defective parts will be replaced or rectified promptly upon joint verification.

🚚 4. Dispatch, Delivery & Transportation

Delivery timelines and logistics terms apply as specified in the accepted Purchase Order:

• Documentation: All dispatches are accompanied by an official Delivery Challan, Tax Invoice, Packing List, and valid E-Way Bill.
• Transit Risk: Risk of loss or damage during transit transfers according to agreed freight terms (FOR Destination vs Transport Freight Collect). Transit insurance can be arranged on customer request.
• Force Majeure: AEW is not liable for dispatch delays resulting from natural disasters, raw material shortages, utility failures, or regulatory strikes.

💳 5. Payment Terms & GST Billing

Payment terms are agreed prior to order confirmation and reflected on invoices:

• Payment Method: Payments should be remitted directly to AEW's designated bank account via NEFT, RTGS, or Account Payee Cheque.
• Credit Period: Overdue payments past the agreed credit period may attract commercial interest at prevailing statutory rates.
• GST Compliance: GST invoices are uploaded to the GST portal with valid HSN/SAC codes, ensuring smooth input tax credit (ITC) reconciliation for buyers.

⚖️ 6. Governing Law & Legal Jurisdiction

These terms and all commercial transactions entered into with Abiding Engineering Works are governed by the laws of the Republic of India. Any legal proceedings or disputes arising from supply contracts shall be subject to the exclusive jurisdiction of the competent courts in West Bengal, India.
